These Terms and Conditions govern the contents and use of the website upvoter (the “Site”) and set out the terms and conditions on which We make the Site available and allow you to make and add to lists (the “Lists”). Please read these Terms and Conditions carefully before using the Site and before signing up to the Site. By using the Site and/or participating in any Lists you signify that you have read, understand and agree to be bound by these Terms and Conditions. You can print a copy of these Terms and Conditions by clicking on the print icon on your browser.
These Terms and Conditions shall apply to all use of the Site and shall supersede any other terms or conditions contained or referred to elsewhere or implied by trade, custom, practice or course of dealing unless specifically agreed to in writing by Us. If you do not agree with these Terms and Conditions then you may not use the Site. Please note that we may modify these Terms and Conditions and thus you should review them periodically. If any modification is unacceptable to you, you shall cease using the Site. If you do not cease using the Site you will be deemed to have accepted the change.

ACCESSING AND USING THE SITE
You may not use the Site in any improper or unlawful manner or in breach of any legislation or licence that applies to you. You agree to comply with all reasonable instructions that we may give you from time to time regarding use of the Site.
People who register for upvoter establish an "Account", and become "Users". Visitors to upvoter or people who add to Lists (“Visitors”) and who do not become Users, but who nevertheless use the Site, affirm that they are bound by these Terms each time they access upvoter.
PROPERTY RIGHTS AND RIGHTS OF USE
All intellectual property rights (meaning patents, registered and unregistered trade marks and service marks, domain names, registered designs and design rights, copyright, database rights and moral rights and rights in computer programs) in and to the Site and all content and materials contained in the Site (“Site Content”) are owned by and shall remain owned by Us or Our licensors. Site Content may only be used for your personal, non-commercial purposes and shall not be reproduced, modified, copied, altered, distributed, framed, republished, displayed, transmitted or sold in any form of by any means in whole or in part. You may not remove any copyright or other proprietary notices contained in any Site Content.
We respect the intellectual property rights of others. We ask you to do the same. We will terminate your account if you appear to infringe the copyright or other intellectual property rights of others. If you believe that your Content has been copied in a way that constitutes copyright and/or trademark infringement then please contact Us straight away.
SITE ACCESS
While we endeavour to ensure that the Site is normally available 24 hours a day, we shall not be liable if for any reason the Site is unavailable at any time or for any period. Access to the Site may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.
USER CONTENT AND USER RULES
Any material used, accessed or transmitted by a User or Visitor on, through or in connection with upvoter, including for the purpose of creating or adding to a List, is treated as "User Content" for the purposes of these Terms.
Each User and Visitor shall ensure that User Content does not:
- infringe any rights, such as a trade mark, of any person or entity or a duty owed to any person or entity, such as a duty of confidentiality;
- contravene any applicable law (including, without limitation, any criminal law) or regulation;
- include anything that is false, inaccurate, misleading, offensive, abusive, threatening or defamatory, or that might cause needless annoyance, inconvenience or distress to any person;
- misrepresent identity in any way or impersonate any person;
- include any material containing personally identifying information about another person, such as their real name, address, phone number, or email address, except with the written approval of that person;
- contain material which is pornographic, obscene, indecent or offensive, which promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, or that may incite hatred or violence against any person or group;
- harass, upset, embarrass, alarm or annoy any person;
- give the impression that it emanates from us, if this is not the case; or
- advocate, promote or assist any unlawful act.
The above are our Content Rules.
Although we prohibit breaches of our Content Rules, we cannot control and do not monitor or pre-screen the use of our Site. It is possible that User Content may be used in a way which contravenes our Content Rules. We are not responsible for such Images or User Content, but if you become aware of any such infringing use of Images or User Content please contact us by emailing us at [email protected].
We may without notice close down a User’s account or block access to the Site if any User Content contravenes our Content Rules.
TERMINATION
We may remove the Site or cease the provision of any of the services available through the Site at any time in our sole discretion for any reason whatsoever.
We may terminate your access to the Site for any reason in our sole discretion at any time with or without notice.
DATA PROTECTION AND PRIVACY
We will only use any personal information that we may collect about you in accordance with our Privacy Policy. This policy forms an essential part of these Terms and Conditions and it is important that you read it. By accepting these Terms and Conditions you also accept and consent to our Privacy Policy.
GOVERNING LAW
These Terms and Conditions are made under the laws of England and subject to the jurisdiction of the courts of England and Wales.
